I don't even remember version 4.0 any more. 
If you are happy with your current version and it operates ok under your 
system, I see little reason to change.
However,
If you are running Windows 95 and want a 32bit version or if you have 
stocks to track or if you are on the internet and want to automatically 
track stocks or get the latest patches automatically or if you do 
on-line banking, then you might want to get the new version.
I picked up the basic Win95 CD version for $24.00 at Office Depot.  Since 
the box came with a $10 rebate coupon, the program's real cost was only 
about $15.00 [including tax].  For me the upgrade was well worth the money.
