   No, Dave Lyle clued me in.  All you have to do is connect the modems 
   with a phone line, start Telix ( or whatever ) on both machines, 
   issue ATX1D on one machine and ATA on the other and their connected.
   Try it, it works...  Thanks again Dave.  :-)
