Phase II was the attempt by Paramount to revive the TOS show for the first 
aborted attempt at a 4th network by Paramount in the 70's. The Phase II work 
or parts of it evolved into ST:TMP.  
The interesting part IMNHO is that the Enterprise was redesigned and looked 
much like a B-70 bomber in design. Frankly I prefer Sternbach's starships. :)
 
Interestingly enough.. some of the interiors of the Enterprise in ST:TMP 
evolved into some of the interiors for TNG.. like Bev's sick bay, etc. 
 
Part of the movie Enterprise bridge set (TOS era cast) survives as an 
interior set on the DS-9 sets.   
 
Hard to keep track of this stuff..
