CMD.EXE is the native Windows NT command processor. COMMAND.COM is the old
DOS shell that runs in a virtual 8086. In practice, there's not a huge
difference, because (IIRC) each shell can transparently invoke programs of
the other type.

You can see the difference more clearly in OS/2. There, you can still
launch DOS programs from CMD.EXE, but as you do so, you can see the
COMMAND.COM startup notice appear.
