I have set up (and registered) two not for profit corps.
Your by-laws have to meet state muster. But since those that are
on file with the state are public records, get a handful and look them
over. They will be a good guide to setting up yours.
Nothing beats having an atty draw up your first set. They can
always be amended at a later date. But you need something to get you
going.
DO NOT lock too much in stone (by-laws). By-laws should be
amendable but not easily. The club could have "rules" that take care
of the day-to-day housekeeping chores. Rules can be changed at any
meeting by a majority vote.
By-laws set up the purpose and structure of the organization. And
violating them could get your status as a corp. revoked by your Sec.
of State (or whomever).
Also be aware that you will have to file twice. Once with the
state and a second time with the IRS, should you be seeking tax exempt
status. Each requires separate paperwork. That's why using an atty
schooled in that area will valuable if you have no experience in this
regard.
