With something like this, I have a feeling the negative effects will
outweigh the upgrade potential. For example it's a lot more likely a class
action lawsuit or congress may enact a new law if they don't act
responsibly.

W2K still has 3 years of extended support left. It has not been
discontinued and congress might not like MS playing this game especially
since it was congress who dictated this change.
