I am using a Mac and having all these problems too.  My guess is that the 
problem does not lie on our ends but rather on the ISP end.  most ISPs that I
know of us USRs wich are probably using a version of 33.6 that was not 
ratified by the V.34 people.  My ISP downgraded their modems to 28.8, and 
everything has worked fine since (they are waiting for the true V.34 release 
from USR).
