•    How it is going to be used;
•    What rights they want; and
•    What is their budget.

The lead picture in a world-wide ad campaign for a large corporation is a
whole lot more pricy than a picture used on a local Chamber of Commerce
brochure, even if it is the same image. In most cases, one sells one-time
rights for a specific use. If they want to use it again, it is another fee.
In most cases, you simply license the use of the picture.

If they want a buy out of all rights, then you start talking much more
money, depending upon the picture. If it is a picture of the client's
balding 50-something accountant, the difference between one time use and
complete buy out may be pretty small. In the case of your best shot in your
lifetime - one that has potential for dozens of sales - the price should be
staggering.

Don't be afraid to say "What are you prepared to offer?"
