I don't have a 95 computer here to check, but try removing checks in
control panel|power, and/or selecting "use APM 1.0."  The last
resort is disabling APM components in device mangager, and that's probably
not for you.

Got a spare HD?  Do a clean install of 98SE and see if it handles shutdown
any better. Does the machine have a "modern" soft power switch?
