Use ".386p" and ".MODEL NEAR" to get the same effect as
".MODEL FLAT" in MASM.

The ALIGN directive does not align the segment, but only aligns your
address counter within the segment.  You need to specify segment alignment
as part of the SEGMENT directive.

All of the magic -- "USE32" and "PARA" -- goes in the
segment directive.
