Well, for me the upgrade was very daunting.  Depending on how much one has 
customized their system, determines the need or desire to do so.  It took me 
until 3.01 to get my system fully (well almost fully) converted before 
putting 3.01 online.  I still run into things I did under 2.02 that aren't 
necessary with 3.01.  :-)
