I had that problem early on in Win98SE, but fixed it the simple way, easy
to do, and easy to undo if necessaary.

I DON'T know if this will work AFTER installing Microsoft's "Shutdown
Patch", but easy to reverse it...

Go the the "Start" menu, click on "Run", type: msconfig

On the first screen, the "General Tab", look near the bottom
right and click on "Advanced", this brings up Advanced
Troubleshooting Settings".

Third line from the bottom is a line "Disable fast shutdown".  If
there is NOT a check in the box for that line, put a check in the box and
click OK.

That was all my system needed, no patches, no updates, nothing else. 
Simply put, Microsoft's "Fast Shutdown" is broken and has to be
disabled.
