You're both right...setboot does not require that Boot Mgr be active,but
SETBOOT.EXE is only installed if boot manager is (at least,  it was with
OS/2 2.0; I don't know if INSTALL has changed its behavior since then).

For someone writing code that must reboot an arbitrary PC,  I don't think
they can assume that SETBOOT.EXE is installed.
