Todd it sounds like what you want to do is not have a shared modem, but
instead have the ability to connect to the internet through another machine.
There are several software packages available for Windows NT that will allow
this.
Microsoft offers a Proxy Server, however it is costly and would be an over
kill for your needs. WinGate however in your situation would be free and is a
pretty powerful proxy server. http://deerfield.com/wingate/ is where you want
to head.
