Based on 2 out of three overlay upgrades I've seen (2 Dell, 1 Toshiba),
you'd do better collecting a set of current drivers and formatting.  Then
the only gotcha is that some updates look for the OEM versions of XP.  I've
heard of BIOS flashers from CD/HD refusing to run; haven't seen that one in
person.

The 2 out of three got reformatted.

I'm assuming you're not wedded to any OEM-supplied software.  For instance,
most software DVD players won't install/upgrade to a retail XP.  And Dell's
MS Office bundles are not standard software - they're not upgradeable, and
won't reinstall on retail.
