AFAICT, it's the Windows for Workgroups network redirector (ie., what you
just said) - if you're not running a WfW/SMB network you can remove it (but
if you *do* run a WfW/SMB network, you need it). Haven't spent *too* much
time on it, but that's what I've discovered so far.
Haven't seen it have too much to do with the 32-bit disk stuff, though.
