                 ROCKWELL DEPLOYS K56 MODEM TECHNOLOGY
    Rockwell delivered first sample chips in January; remains on
    schedule to begin production shipments in February; leading modem
    manufacturers are expected to begin widespread product deployment
    in March using K56 modem chips
   Feb. 3, 1997--Confirming the timetable that it announced last fall,
Rockwell Semiconductor Systems today said that it has shipped samples
of its 56Kbps modem chips to more than 130 customers and is on
schedule to begin production in February, as planned.
   According to Rockwell, demand for early samples of its K56
chips has been strong.  Product development and testing has already
begun among customers who collectively serve more than 70 percent of
the worldwide market for client-side modems and 60 percent of the
worldwide market for central-site modems.  Many of the industry's
leading modem suppliers have already announced that they will release
products this quarter that use Rockwell's K56 modem chipset.
   "By mid-1997, our customers expect that they will have deployed
several million K56 connections throughout the nation," said
Dwight Decker, Rockwell Semiconductor Systems president.  "Customer
commitment to the K56 deployment program has been very
enthusiastic, and consumers will soon have a worldwide grid of
K56-compatible ISP access points."
   In February, Rockwell plans to begin production shipment of
chipsets and work with ISPs on the initial deployment of central-site
equipment throughout the country.
   The industry's leading suppliers of central-site equipment have
already said that they will begin shipping K56-based central-site
modem equipment to ISPs in late February and early March, pending
completion of their FCC certification process.  Rockwell's
central-site modem customers hold a combined share of more than 60
percent of the market for Internet access ports, and have the ability
to very quickly move K56 technology into the ISP infrastructure.
   Early Rockwell test results have been excellent and, based on
aggressive customer launch plans, the first client-side K56
modems should hit retail shelves in March.
   Leading client-side modem makers who serve more than 50 percent
of the retail channel are readying a variety of products, and
beginning in February, Rockwell will be working with all of these
manufacturers to implement an extensive field testing program with
the support of ISPs and on-line service providers.
   "We set an aggressive timetable for ourselves last fall, and
we're proud to report that we're right on target and that our
customers are moving toward product deployment even faster than we'd
anticipated," said Armando Geday, vice president and general manager,
Rockwell Semiconductor Systems, Multimedia Communications Division.
"We're confident that consumers who buy K56-based modems will be
getting top speeds and they will have plenty of access points."
   Analysts have said that the broad availability of compatible
56Kbps modems is critical to the success of this high-speed
technology.  These modems can only work at top speeds if the user can
connect to a compatible modem at his ISP.
   "56Kbps modem technology has the potential to truly transform the
Web-browsing experience for many users in 1997," said Wen Liao,
senior analyst, Jupiter communications Inc.  "With Rockwell's launch
of its K56 deployment program, we can now finally get a clearer
picture of just how this transformation is going to unfold."
   Rockwell is involved in a variety of other efforts aimed at
ensuring widespread compatibility among 56Kbps modems.  In November,
Rockwell announced with Lucent Technologies that the two companies
would make their 56Kbps modem chipsets interoperable.  In December,
leading PC OEMs including AST Computer, Compaq Computer Corporation,
Hewlett Packard and Toshiba Corporation all joined Rockwell and
Lucent to announce their support for the two companies' mutual
standard.
   Additionally, Rockwell is a charter member of the PCM ad hoc
modem standard committee that is currently developing standards for
56Kbps modems.  Rockwell is the assistant editor for a draft
specification that the committee is scheduled to complete by
mid-year.  This specification will form the basis for the United
States' submission to the ITU standard for 56Kbps modems.
