I thought your problem was as follows:
a) boot into DOS -> 4DOS gets no UMBs
b) boot into GUI, then 4DOS-box: 4DOS *gets* UMBs
Now it seems it is as follows:
a) GUI -> 4dos-box -> ?UMBs or not???
b) GUI -> 4dos-box -> app -> 2nd 4dos-shell -> no UMBs ??
Could you clearify the different cases using a meta description like
above? 
That reminds me on another DOS program I'm using at times - SHEZ, a
pack/unpack shell for various compression programs.
With the configuration program you can set up if external programs
can make use of XMS and/or EMS.
Maybe it depends on the "main" program - if it allocates all
available UMBs for itself, you'll hardly be able to use them from a
program called by "shelling out".
