Actually that does not matter as long as you are not loading com.sys.
usbser.sys does not even know what how to detect the PC hardware serial
port is.

This is step 1. The driver can talk to the converter.

This could be a number of issues. I recommend you use HyperAccess or ZOC
to try to send some AT commands to the modem. Let's make sure that you
don't have a cabling problem or something like that.

I'm a bit fuzzy on the details, but didn't fmd.sys replace com.sys when
used? You definitely will not be able to have fmd.sys installed along
with usbser.sys. fmd.sys only knows about hardware and pcmcia serial
ports.

It's nothing like that. It you had a port or IRQ issue, the mode command
would fail.
