No, MS don't want people complaining that they paid for an upgrade that
did nothing on their old system. OSR2 upgrades are upgrades to support NEW
hardware, such as MMX, and the long overdue patch up for FAT to handle large
drives.

I know it'd be hard for you, but just ring MS and ask them "can OSR2 be
purchased with a new motherboard or large HDD?".
