I've run into this when another app has been in the directory, and then you 
change drives, the directory is still in use until you change directories on 
that drive.  
In otherwords:
cd c:\foo\foobar
d:
rmdir c:\foo\foobar
access denied...
cd c:\foo\foobar
cd \
d:
rmdir c:\foo\foobar
1 dir removed
Not sure thats your problem, but it embarrased me more than once.
