You need to uninstall via the uninstall software in the control panel and
then download 
and  reinstall the .Net 1.1 in the computer from microsoft.com. And then
the damned hotfix 
will install. That's the MS solution that I read at their site but don't have handy. 
Alternately, if you really don't care, you go to the Windows Update page,
and customize it 
telling it to never show you this update again. 

just a FYI, the different versions of .Net are not inclusive, that is .Net
v.3.0 does not 
include 1.1, you need each bloated version if you visit .Net sites.
