Is the Modem working properly?
are the settings right?
is there a memery conflict?
When the other computer is trying to connect
or inability to hand shake properly  that is your modem settings
reduce you modem speed to 38400  or less
You can always change it later
take out the Modem data compression settings  you dont need them
as files are all ready compressed  
use the plain vanilla settings.
