Already thought of that and tried it, no luck :-( 
also tried S27=32 to disable V42 and use MNP4, no luck

if i can remember them all i've also tried
S56=64  Disable V34
S54=128 Disable V.8 mode
S54=32  Disable 3429 symbol rate
S51=64  Disable SREJ, The USR after call stats state that SREJ is on
        after the failed connect even though i doubt the Simple modem
        supports SREJ.

There may have been other settings i've tried Bill but have forgotten
about, If you can suggest anything else i'm willing to try it. This
problem is more of a "it won't beat me" problem than anything serious
as the Netcomm does the mail poll and it seems to work without
problem. BTW if i force V32bis with the USR it connects just fine with
V42/V42bis etc.
