Having recently moved up to Win2000 I'm running into exactly this problem.  
I've downloaded your graph32.ocx (renamed it thus from the graphs32.ocx) and 
tried to register it.  The regsvr32.exe keeps complaining that it can't find 
the "specified module".   WCSTAT still says, unable to load graph32.ocx.
